These Terms of Service ("Terms") govern your access to and use of Kisnip (the "Service"), operated by Kisnip ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Kisnip provides an AI-powered voice assistant that businesses embed on their websites to answer visitor questions around the clock. We may add, change, or remove features at any time to improve the Service.
2. Accounts
- You must provide accurate information and keep your account credentials secure.
- You are responsible for all activity that occurs under your account.
- You must be at least 18 years old and able to enter into a binding contract.
3. Acceptable use
You agree not to:
- Use the Service for unlawful, deceptive, or harmful purposes.
- Upload content that infringes intellectual property or privacy rights.
- Attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service.
- Use the Service to send spam or collect data without a lawful basis.
4. Your content
You retain ownership of the knowledge, branding, and other content you provide ("Your Content"). You grant us a limited licence to process Your Content solely to operate and provide the Service, including generating AI responses. You are responsible for ensuring you have the rights to the content you upload and for the accuracy of AI responses shown to your visitors.
5. AI-generated responses
The Service uses third-party AI models to generate responses based on the knowledge you provide. AI responses may be inaccurate or incomplete. You are responsible for reviewing your knowledge base and for any reliance placed on AI output. We do not guarantee that responses will be error-free.
6. Subscriptions & billing
- Paid plans are billed in advance on a recurring basis through our payment provider, Stripe.
- Each plan includes usage limits (such as the number of conversations per month); usage beyond your plan may require an upgrade.
- Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
- You can cancel at any time; cancellation takes effect at the end of the current billing period.
- Except where required by law, payments are non-refundable.
7. Cancellation & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends and associated data may be deleted.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by us and protected by law. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, or consequential damages, or for loss of profits, revenue, data, or goodwill. Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.
11. Indemnity
You agree to indemnify and hold us harmless from claims arising out of Your Content, your use of the Service, or your breach of these Terms.
12. Changes to the Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of Switzerland, without regard to conflict-of-law rules. Disputes shall be subject to the competent courts at our registered seat, unless mandatory law provides otherwise.
14. Data protection
To the extent that we process personal data on your behalf when you use the Service (for example, the content of conversations your visitors have with the assistant), we do so as your processor under our Data Processing Agreement (the "DPA"). The DPA is incorporated into these Terms by reference. By accepting these Terms, you also agree to the DPA, which forms a binding agreement between you (as controller) and us (as processor) in electronic form, without the need for a separate signature. 15. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. You may not assign or transfer these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay in performance caused by events beyond our reasonable control (force majeure).
